Terms & Conditions

1. Definitions

For the purpose of this Agreement, the following terms shall have the meanings set out below:

• "An Khang" — An Khang Business Consulting, operating from 78 Binh Duong Boulevard, Thu Dau Mot, Binh Duong 590000, Vietnam.
• "Client" — any individual or legal entity that engages An Khang for consulting services.
• "Services" — the business consulting services described at ankhangftr.pro and in the applicable proposal or engagement letter.
• "Agreement" — these Terms & Conditions, together with any signed proposal or engagement letter.
• "Deliverable" — any report, framework, template, or document produced by An Khang for the Client as part of an engagement.
• "Confidential Information" — any non-public business, financial, or operational information shared by either party.

2. Acceptance of Terms

By submitting an enquiry through our website, signing a proposal, or proceeding with a consulting engagement, the Client agrees to be bound by these Terms & Conditions.

• The Client confirms they are at least 18 years of age and have legal capacity to enter this Agreement.
• If acting on behalf of a company, the individual confirms they are authorised to bind that company.
• These Terms apply to all engagements unless a separate written agreement supersedes them.

3. Service Description

An Khang offers business consulting services focused on organisational structure, management reporting, and distribution strategy. Current service offerings include:

• Distribution Channel Assessment — channel cost analysis, partner evaluation, and optimisation planning (3 weeks).
• Management Reporting Redesign — report inventory audit, information architecture, and governance framework (3–4 weeks).
• Multi-Entity Structuring Advisory — entity architecture review, tax efficiency analysis, and migration roadmap (4–6 weeks).

Services are delivered in English. An Khang works in coordination with, but does not replace, the Client's existing legal counsel, tax advisors, or auditors.

4. Engagement Process

• All engagements begin with an introductory consultation to understand the Client's situation.
• A written proposal detailing scope, deliverables, timeline, and fees will be sent to the Client for review.
• An engagement is confirmed only upon written acceptance by the Client (email or signed document).
• An Khang reserves the right to decline any engagement at its discretion prior to formal acceptance.
• Scope changes during an active engagement must be agreed in writing by both parties.

5. Client Responsibilities

The quality and timeliness of our work depends significantly on the Client's participation. By engaging An Khang, the Client agrees to:

• Provide accurate, complete, and timely information requested by our team.
• Make relevant personnel and decision-makers available for interviews or working sessions as agreed.
• Review and provide feedback on draft deliverables within the timeframes agreed in the proposal.
• Not engage other consultants in overlapping scope without prior discussion.
• Use all website content and materials lawfully and not for any purpose that violates applicable Vietnamese law.

6. Intellectual Property

• All methodologies, frameworks, templates, and tools developed by An Khang remain the intellectual property of An Khang.
• Upon full payment, the Client receives a non-exclusive, non-transferable licence to use the Deliverables for internal business purposes.
• Deliverables may not be resold, sublicensed, or published externally without written consent from An Khang.
• An Khang may reference the engagement category (not Client name or details) in general capability descriptions, unless the Client requests otherwise.
• All content on the An Khang website is the property of An Khang and may not be reproduced without permission.

7. Payment Terms

• Fees are denominated in Vietnamese Dong (VND) as stated in the engagement proposal.
• A deposit of 50% of the agreed fee is due upon engagement confirmation before work begins.
• The remaining balance is due upon delivery of the final Deliverable.
• Accepted payment methods: bank transfer to An Khang's designated account (details in proposal).
• Invoices not settled within 14 calendar days of the due date may incur a late payment fee of 0.05% per day on the outstanding amount, consistent with Vietnamese commercial law.

Refund Policy:

• If An Khang is unable to commence an engagement after deposit receipt, a full refund will be issued.
• If the Client cancels within 3 business days of confirmation, 80% of the deposit will be refunded.
• Cancellations after work has commenced: refund calculated based on work completed at the time of cancellation.

8. Confidentiality

Both parties agree to treat the other's Confidential Information with reasonable care:

• An Khang will not disclose Client business information to third parties without the Client's consent, except as required by law or by cooperating advisors involved in the same engagement.
• The Client will not share An Khang's proprietary methodologies or internal tools with third parties.
• Confidentiality obligations survive the end of the engagement for a period of three (3) years.
• Information already in the public domain or independently developed is not subject to these obligations.

9. Disclaimers

• Consulting services are delivered based on information provided by the Client. The quality of outputs is dependent on the accuracy of that information.
• An Khang's recommendations are advisory in nature. Implementation decisions remain the responsibility of the Client and its management.
• An Khang does not provide legal advice, tax advice, or audit services. Recommendations touching these areas should be reviewed by the Client's qualified advisors.
• Website content is provided for informational purposes and does not constitute a binding offer or engagement.
• An Khang does not warrant that business outcomes will result from implementing any recommendations.

10. Limitation of Liability

To the extent permitted by Vietnamese law:

• An Khang's total liability for any claim arising from an engagement shall not exceed the fees paid by the Client for that specific engagement.
• An Khang is not liable for indirect, consequential, or incidental losses including lost revenue, lost profits, or reputational damage.
• An Khang is not liable for delays or failures caused by factors outside our control (force majeure), including natural disasters, regulatory changes, or the Client's own decisions.
• Claims must be raised within 12 months of the relevant event to be considered.

11. Indemnification

The Client agrees to indemnify and hold harmless An Khang and its consultants from claims, damages, or costs arising from: the Client's misuse of Deliverables; inaccurate or misleading information provided to An Khang; or the Client's violation of applicable laws in implementing recommendations.

12. Termination

• Either party may terminate an engagement with 5 business days' written notice.
• An Khang may terminate immediately if the Client provides materially false information or engages in conduct that makes continued cooperation impractical.
• Upon termination, fees for work completed are due within 14 days.
• Confidentiality, intellectual property, and liability provisions survive termination.

13. Dispute Resolution

• Governing law: These Terms are governed by the laws of the Socialist Republic of Vietnam.
• Jurisdiction: Disputes shall be subject to the jurisdiction of the courts of Binh Duong Province, Vietnam.
• Informal resolution: Both parties agree to first attempt good-faith resolution within 30 days of a dispute arising.
• Mediation: If informal resolution fails, parties may elect mediation through the Vietnam Mediation Centre (VMC) before pursuing court proceedings.

14. General Provisions

• Entire Agreement: These Terms, together with any signed proposal, constitute the entire agreement between the parties and supersede prior discussions.
• Severability: If any provision is found unenforceable, the remainder of the Terms continues in full force.
• Waiver: Failure by An Khang to enforce any provision does not constitute a waiver of that right.
• Assignment: The Client may not assign their rights or obligations under this Agreement without An Khang's written consent.
• Notices: Formal notices should be sent by email to [email protected] or by post to the address below.

15. Changes to These Terms

An Khang may update these Terms from time to time. Changes will be posted on this page with an updated effective date. For active engagements, material changes to the Terms will be communicated directly. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
